AI Terms

Panorays maintains and implements administrative, technical, physical, and organizational safeguards designed to protect Inputs, Outputs, and related data, taking into account the nature of the information and the risks involved. As part of its AI governance program, Panorays maintains alignment with ISO/IEC 42001 and applies policies, processes, and controls designed to support the secure, responsible, and compliant development, deployment, and operation of AI-related services.
These AI-Specific Terms (“AI Terms“) govern your access to the artificial intelligence features, functionality, tools, models, and related services made available by the Platform (collectively, the “AI Offerings“).
These AI Terms are internal part of terms of use of Panorays (the “General Terms“). Capitalized terms used but not defined in these AI Terms have the meanings given to them in the General Terms. By accessing or using the AI Offerings, you agree to these AI Terms. If there is any conflict between these AI Terms and the General Terms, these AI Terms will control solely with respect to the AI Offerings.
1. AI Offerings. The AI Offerings may enable you to submit prompts, instructions, text, documents, data, files, images, audio, or other materials (“Inputs“) and receive responses, summaries, analyses, recommendations, generated content, classifications, code, or other materials generated by the AI Offerings (“Outputs“). The AI Offerings may include features that rely on Panorays’s systems, third-party models, or a combination of both. Panorays may update, modify, replace, restrict, or discontinue any AI Offerings or functionality at any time.
2. Inputs and Outputs. You are responsible for the Inputs you submit to the AI Offerings, including ensuring that you have the necessary rights, permissions, consents, and other lawful bases to submit and use those Inputs in connection with the AI Offerings. You are also responsible for reviewing Outputs and exercising reasonable judgment before using, relying on, publishing, sharing, or implementing them, and Panorays does not intend the AI Offerings to replace human review, independent verification, or professional advice where needed. For clarity, your rights in Outputs do not extend to any models, algorithms, systems, training data, prompts, methodologies, or other underlying technology used to provide the AI Offerings.
3. Disclaimer Regarding Outputs. Without limiting any disclaimers in the General Terms, you acknowledge that Panorays does not represent or warrant that any Output will be accurate, complete, current, lawful, reliable, secure, available, non-infringing, or suitable for your intended use or that the AI Offerings will operate without interruption or error. You are solely responsible for evaluating, validating, and independently verifying all Outputs before relying on them or using them in any business, technical, legal, operational, compliance, or other context. Customer remains responsible for complying with any obligations applicable to deployers, operators, users, or other regulated parties under the EU Artificial Intelligence Act and any other applicable AI-related laws and regulations.
4. Restrictions on Use. You shall not, and shall not allow any third party to use the AI Offerings to: (i) submit Inputs or use Outputs in violation of applicable law or third-party rights; (ii) misrepresent Outputs as human-generated or as approved or endorsed by Panorays; (iii) train or improve competing AI or machine learning models or services, except as authorized in writing by Panorays; or (iv) use the AI Offerings in a manner reasonably likely to cause Panorays or its providers to violate applicable law or third-party obligations.
5. Data Use. You grant Panorays a non-exclusive, worldwide, limited license to host, store, copy, process, transmit, and use Inputs and Outputs as necessary to (i) provide, operate, maintain, and support the AI Offerings; (ii) monitor compliance with these AI Terms and applicable policies; (iii) prevent abuse, misuse, fraud, and security incidents; and (iv) enhance its products, services, and technologies in order to provide the Services.
6. Personal Data and Confidential Information. You are responsible for determining whether the AI Offerings are appropriate for the data you choose to submit and for your compliance with applicable law, regulation, and contractual obligations in connection with such use. You are also responsible for providing any required notices and obtaining any necessary rights, permissions, consents, or other legal bases for such data. The Company does not assume responsibility for the legality or accuracy of data provided by you to the AI Offerings.
7. MCP Integrations. Panorays may provide Model Context Protocol (“MCP”) and Additional technical, security, and implementation requirements relating to MCP as may be described in Panorays documentation or security materials made available to Customer from time to time. 8. Third-Party Providers. The AI Offerings may incorporate or rely on third-party models, infrastructure, software, or service providers. Panorays may change or replace such providers or components at any time. Certain AI Offerings or features may also be subject to additional product-specific terms, documentation, or usage limits made available by Panorays.
9. Monitoring and Enforcement. Panorays may monitor use of the AI Offerings for security, abuse prevention, policy enforcement, service quality, and legal compliance purposes. Panorays may investigate suspected violations of these AI Terms. If Panorays reasonably determines that you have violated these AI Terms, created a security risk, exposed Panorays or others to liability, or used the AI Offerings in a prohibited manner, Panorays may restrict, suspend, or terminate access to the AI Offerings, in whole or in part, in accordance with the General Terms.
